Terms and Conditions

§ 1 Provider and scope
(1) The provider and your contracting party is Matthias Holzer, sole trader, trading as "zircles.eu", (shown in your browser), Austria, email: hello@zircles.eu ("we").
(2) These terms apply to the use of the Zircles app (https://app.mind.zircles.eu, also as an installable app) and to all subscriptions concluded through it. Deviating terms apply only if we expressly agree to them.
(3) We may transfer the contract to a company we found (for example a GmbH). We announce this in text form at least six weeks in advance; you may then terminate the contract at any time until the transfer, and we refund amounts already paid for the period after it pro rata.
§ 2 The service
(1) Zircles is a digital application for organising family life: tasks, events, lists, reminders, calendar sync and reminders of vaccinations and preventive check-ups.
(2) AI features act only at your request. Scanned documents and voice braindumps are saved only after you have reviewed and confirmed the entries found. If you explicitly ask the assistant in the chat for a small change (such as adding a task, an event, a shopping item or a medication dose that was given), it carries it out immediately and shows it to you with a way to undo it; deletions, plans, new contacts, health entries such as vaccinations or doctor visits, and pickup hand-overs are put to you for confirmation first. Automatic actions without individual confirmation (Autopilot) happen only where they have been switched on for your zircle. AI results can contain mistakes; check them before you rely on them.
(3) Zircles is not a medical device and does not replace medical advice, diagnosis or treatment. Vaccination and check-up hints are based on public recommendations (e.g. STIKO, the Austrian vaccination plan, BAG) and serve as reminders; your doctor’s advice in the individual case prevails.
(4) There is a free version with limited scope and the "Standard" plan with full scope. The features and allowances each plan includes are shown to you in the app before you subscribe; that overview forms part of the contract.
(5) We continuously develop and update Zircles. We do not make changes that materially reduce the scope of a paid subscription during the current billing period.
§ 3 Account and minimum age
(1) You need an account to use Zircles. Registering concludes a contract for the free version.
(2) You must be at least 16 years old.
(3) Keep your credentials secret and provide truthful information.
(4) If you enter data about other people — such as your children — you confirm that you are entitled to do so.
§ 4 Concluding a subscription
(1) You choose a plan and term in the app, confirm these terms and the withdrawal notice in the next step, and are then forwarded to our payment provider Stripe. There you can review and correct your details. By clicking "Subscribe" you make a binding offer to enter into a paid contract.
(2) The contract is concluded when Stripe confirms the payment; we then unlock the plan immediately. You then receive a contract confirmation by email — with these terms, the withdrawal notice including the model withdrawal form, and your request for an immediate start.
(3) The contract languages are German and English. We do not store the contract text separately for you; you can view, save and print these terms here at any time.
§ 5 Prices and payment
(1) The prices shown to you in the app before you subscribe apply: Standard monthly €6.99 per month, Standard annual €59 per year. Prices are per person, not per family.
(2) All prices are final prices. As a small business under § 6 (1) no. 27 of the Austrian VAT Act we do not charge VAT.
(3) Each amount is due in advance for the billing period and collected via Stripe. If a payment fails, we may suspend the paid plan’s features until it is made; your data is kept.
§ 6 Founding Family offer
(1) The first 100 people to take out Standard annual pay €39 instead of €59 per year. The discount is applied automatically at checkout while places remain; the app shows you before you subscribe whether the offer is still available.
(2) This price never rises as long as your subscription continues without interruption. If you cancel or the subscription ends, a new subscription is at the then-regular price.
(3) With a Founding Family subscription you can gift one other person one year of Standard, once. The gift ends automatically after 365 days at no cost; the recipient can then subscribe themselves at the regular price. The price benefit under (2) applies to you only.
§ 7 Term, renewal and cancellation
(1) Standard monthly runs for one month and renews for one further month at a time.
(2) Standard annual (including Founding Family) runs for an initial twelve months. After that it continues for an indefinite period and is still billed annually in advance; you can then cancel it at any time with one month’s notice. If you cancel after the first twelve months, we refund the amount already paid for the period after the cancellation date pro rata.
(3) You can cancel at any time: in the app (Settings → Subscription), without signing in via "Cancel contracts here" (https://app.mind.zircles.eu/cancel-contract) or by email to hello@zircles.eu. We confirm every cancellation by email straight away, with the time we received it and the day the contract ends. Until then you can take a cancellation back in the app.
(4) You can keep using the plan until the end of the paid period; your account then moves to the free version. Your data is kept.
(5) Both parties’ right to terminate for good cause remains unaffected. You can end the free version at any time by deleting your account.
§ 8 Right of withdrawal
As a consumer you have a statutory 14-day right of withdrawal. Details and the model withdrawal form are in the withdrawal notice.
§ 9 Your content and fair use
(1) Your content belongs to you. You grant us only the rights we need to store and process it for you and to show it to the members of your zircles.
(2) Do not use Zircles for unlawful content, do not infringe third-party rights and do not impair the security or availability of the service.
(3) In the event of serious or repeated breaches we may suspend your account or terminate the contract for good cause. We tell you first unless the severity of the breach makes that unreasonable.
§ 10 Availability
We aim for high availability but cannot promise uninterrupted access. Maintenance, disruptions at service providers (e.g. hosting, payments, AI) or force majeure may temporarily limit the service.
§ 11 Warranty
The statutory warranty rights for digital services apply (in Austria the Consumer Warranty Act, VGG; in Germany §§ 327 et seq. BGB). This includes providing the updates needed to use the service as agreed.
§ 12 Liability
(1) We are liable without limitation for intent and gross negligence, for injury to life, body or health, under product liability law and where we have given a guarantee.
(2) For slight negligence we are liable only if we breach an essential contractual obligation — one whose fulfilment makes proper performance of the contract possible in the first place and on which you may rely — and only for the foreseeable damage typical for the contract.
(3) Zircles is an organising aid (§ 2 (3)). Decisions on vaccinations, examinations and treatments are made by you together with your doctor; when in doubt, double-check important appointments there.
§ 13 Changes to these terms and to prices
(1) We notify you of changes to these terms in text form at least six weeks before they take effect. Changes affecting your main obligations or our main service take effect only with your express consent.
(2) Price changes for a running subscription take effect only with your express consent. If you do not consent, the subscription continues at the previous price; we may then terminate it with three months’ notice to the end of a billing period. For Founding Family subscriptions, § 6 (2) applies.
§ 14 Final provisions
(1) Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods and conflict-of-law rules. If you are a consumer habitually resident in another country, you keep the protection of that country’s mandatory consumer law.
(2) Claims against consumers must be brought in the courts of their place of residence; your claims follow the statutory venues.
(3) We are neither obliged nor willing to take part in dispute resolution proceedings before a consumer arbitration board.
(4) If any provision is invalid, the rest of the contract remains valid; the statutory rule replaces the invalid provision.
